Role Summary
NdCare and the Neuro Inclusion Project operate at the intersection of healthcare, digital health, research, and public-sector partnership. These are high-trust, high-scrutiny environments.
We are seeking a Legal Advisor to provide early-stage legal structure, equity hygiene, and risk containment, particularly around:
- equity-based roles
- intellectual property
- regulated health activity
- future investment readiness
This is not a volume legal role.
It is a strategic safety role.
Purpose of the Role
The Legal Advisor exists to:
- Ensure NdCare’s foundations are legally sound and investor-safe
- Prevent avoidable mistakes in equity, IP, and governance
- Support ethical, transparent engagement with contributors and partners
- Enable growth without legal fragility
If this role is done well, nothing dramatic happens... because problems never arise.
Key Responsibilities
1. Equity & Share Structure
Advise on equity-based compensation structures
Support drafting and review of:
- equity-only role agreements
- vesting and cliff arrangements
- advisor agreements
Ensure future EMI scheme eligibility is protected
2. Intellectual Property Protection
- Advise on IP ownership, assignment, and licensing
- Ensure founder and contributor IP is properly protected
- Prevent accidental loss of core IP through informal arrangements
3. Health & Regulatory Risk
Advise on legal boundaries relating to:
- digital health
- therapy and clinical activity
- safeguarding responsibilities
Support clarity around scope of practice and liability exposure
4. Contract & Agreement Review
- Review key contracts, MOUs, and partnership agreements
- Flag risk, ambiguity, or misalignment early
- Ensure agreements reflect ND-affirming, non-extractive principles
5. Investment & Due Diligence Readiness
- Support preparation for seed investment
- Identify and remediate legal risks ahead of diligence
- Advise on board, shareholder, and governance structures
What This Role Is Not
- It is not a general counsel position
- It is not a high-volume contract drafting role
- It is not responsible for operational compliance management
- It is not expected to absorb unmanaged risk
This role provides guidance, guardrails, and escalation, not execution alone.
Equity / Fee Structure
Compensation options:
- Advisor equity: ~0.05–0.25%
- Deferred fees with future conversion
- Hybrid arrangement (to be agreed)
- Vesting: Typically time-bound (12–24 months)
- Time commitment: Ad hoc / quarterly rhythm
- Review point: Annual or milestone-based
All arrangements will be documented clearly and ethically.
